WYVC Direct Strategy

The $35M in the Direct investment strategy is focused on direct equity co-investment into Wyoming entrepreneurs. Follow-on funding has been a challenge for Wyoming startups and the Direct Strategy enables WYVC to participate in funding rounds for Wyoming companies headquartered across the state.

Who is Eligible

  • Wyoming-based company
  • Startup or high-growth company
  • Committed to future exit
  • Planned or future fundraising round
  • Previously raised funds (Conv. Note, SAFE, Equity)

 

Investment Details

  • WYVC is targeting 20% of the round when appropriate
  • WYVC max investment of $5,000,00 or 50% of total round whichever is less
  • Other investors in the round are Pari Passu with, or junior to, the WYVC investment in cash flow rights
  • Must have a strategic lead investor secured before WYVC can commit capital to the round

For eligibility, a Wyoming-based company must meet one of the following criteria:

  • The company is headquartered in Wyoming
  • At least 60% of the employees are in Wyoming
  • At least 60% of the equity is owned by Wyoming residents

Direct Investment Process

  1. Read the certifications, WYVC Rules, and Treasury Guidance linked below to confirm eligibility.
  2. Complete the application by providing up-to-date items such as the pitch deck and financials.
  3. If selected after review, give a full pitch either in person or over a video call. 
  4. Complete additional due diligence, focused on, but not limited to the list below, may be requested before determining investment.
    • Team, Business Plan, Product, Customer, Market Data, Competitive Advantage, Financials, Round Info, and Exit Strategy
  5. Execute a Letter of Intent (LOI) consistent with investment interest.
  6. Coordinate with the lead investor to determine final terms and closing date.
  7. Finalize due diligence and schedule possible site visit.
  8. Complete formal agreements and certifications.
  9. Invest funds either after or simultaneously as the fundraising round’s co-investors.
